1. Acceptance of Terms
By accessing or using Aspire Edu AI ("the Platform"), you — on behalf of the educational institution you represent ("Institution") — agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.
These Terms constitute a legally binding agreement between your Institution and Aspire Code AI ("we", "us", "our"), a software company registered in India.
2. Description of Service
Aspire Edu AI is a multi-tenant, cloud-based AI operating system for educational institutions. The Platform provides modules including student management, attendance tracking, fee management, faculty management, AI-powered question paper generation, dropout risk prediction, and an AI assistant — all scoped to your institution's isolated data environment.
The Platform is offered in the following plans:

3. Eligibility
The Platform is available exclusively to:
- Registered schools, colleges, and educational institutions operating in India.
- Authorised representatives (Principal, Correspondent, or equivalent) who have the legal authority to bind the Institution to these Terms.
Use of the Platform by individuals in a personal capacity is not permitted.
4. Beta Access and Trial Period
During the beta period (commencing June 5, 2026), selected institutions may access the Standard plan at no charge for a limited time ("Beta Trial"). The following conditions apply:
- Beta access is granted at our sole discretion and may be withdrawn at any time with reasonable notice.
- Beta Trial duration is set by Aspire Code AI and communicated to each institution at the time of onboarding.
- Upon expiry of the Beta Trial, continued access requires a paid subscription.
- Founding schools (those who participate in the beta) are entitled to the Standard plan at the Starter price for the first 6 months following the general commercial launch, as communicated during onboarding.
- We may use feedback and anonymised usage data from the Beta Trial to improve the Platform.
5. Account Registration and Credentials
Access credentials (email and password) are issued by Aspire Code AI to the Institution's designated administrator upon onboarding. The Institution is responsible for:
- Keeping credentials confidential and not sharing them outside authorised staff.
- All activities that occur under the Institution's account.
- Notifying us immediately at aspirecodeai@gmail.com if credentials are compromised.
We reserve the right to suspend accounts where we have reason to believe credentials have been misused.
6. Permitted Use
The Platform is licensed to your Institution on a non-exclusive, non-transferable basis for internal administrative and academic use only. You may not:
- Resell, sublicense, or otherwise make the Platform available to third parties.
- Reverse-engineer, decompile, or attempt to extract the source code of the Platform.
- Use the Platform to process data for institutions other than your own.
- Upload malicious code, conduct security attacks, or attempt to gain unauthorised access to any part of the Platform or its underlying infrastructure.
- Use the Platform in a manner that violates any applicable Indian law, including the Information Technology Act 2000, the Digital Personal Data Protection Act 2023, or any regulation made thereunder.
7. Data and Privacy
Your institution's data — including student records, attendance, fees, and faculty information — is stored in an isolated Firestore collection scoped exclusively to your institution. We do not share, sell, or provide access to your data to any other institution or third party.
All data handling is governed by our Privacy Policy and Data Handling & Security Policy, which form part of these Terms.
The Institution retains ownership of all institutional data uploaded to or generated within the Platform. Upon termination of your account, you may request an export of your data within 30 days of termination.
8. Payment and Billing
Post-beta paid subscriptions are processed through Razorpay, a RBI-regulated payment aggregator. By subscribing to a paid plan, you agree to Razorpay's terms and conditions in addition to these Terms.
- Subscriptions are billed monthly or annually as selected at the time of purchase.
- All prices are in Indian Rupees (₹) and inclusive of applicable taxes unless stated otherwise.
- Invoices will be issued to the registered Institution email.
- Failed payments will result in a grace period of 7 days before access is suspended.
- Refunds are considered on a case-by-case basis. Contact us at aspirecodeai@gmail.com within 7 days of a charge to raise a dispute.
9. Intellectual Property
All intellectual property rights in the Platform — including but not limited to software, UI design, AI models, prompts, brand assets, and documentation — belong exclusively to Aspire Code AI. These Terms do not transfer any intellectual property rights to your Institution.
The Institution retains all intellectual property rights in the content it uploads to the Platform (student data, documents, etc.).
10. Confidentiality
Both parties agree to keep confidential any non-public information received from the other party in connection with the Platform. This obligation survives termination of these Terms for a period of 3 years.
11. Disclaimers
The Platform is provided "as is" and "as available." To the maximum extent permitted by applicable law, Aspire Code AI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
AI-generated outputs (question papers, progress reports, risk predictions, etc.) are provided for informational and administrative assistance purposes only. They do not constitute professional educational, legal, or medical advice. The Institution is solely responsible for verifying and acting on any AI-generated content.
12. Limitation of Liability
To the maximum extent permitted by Indian law, Aspire Code AI's total cumulative liability to the Institution for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount paid by the Institution to Aspire Code AI in the 3 months preceding the claim (or ₹5,000 if no payment has been made, e.g. during the beta period).
We shall not be liable for any indirect, incidental, consequential, or special damages, including loss of data, loss of revenue, or loss of reputation, even if we have been advised of the possibility of such damages.
13. Indemnification
The Institution agrees to indemnify and hold harmless Aspire Code AI, its directors, officers, and employees from and against any claims, damages, and expenses (including legal fees) arising from: (a) the Institution's breach of these Terms; (b) misuse of the Platform by any user of the Institution's account; or (c) infringement of any third-party rights through content uploaded by the Institution.
14. Suspension and Termination
We may suspend or terminate your access to the Platform immediately and without prior notice if:
- You materially breach these Terms and fail to remedy the breach within 7 days of notice.
- You engage in fraudulent, illegal, or abusive activity.
- A court or regulatory authority requires us to do so.
You may terminate your account at any time by contacting us at aspirecodeai@gmail.com. Termination does not entitle you to a refund of any prepaid amounts except where required by law.
15. Modifications to the Platform and Terms
We reserve the right to modify the Platform, add or remove features, or change pricing at any time. We will provide reasonable advance notice (at least 14 days) of material changes via email to the registered administrator.
We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
16. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Virudhunagar District, Tamil Nadu, India.
Before initiating legal proceedings, the parties agree to attempt to resolve any dispute amicably through direct negotiation for a period of 30 days.
17. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, power outages, internet service disruptions, government actions, or pandemics.
